The conversion itself is lossless: PNG stores every pixel exactly as it appears in the JPG, so the PNG looks identical. What PNG cannot do is restore detail that was already lost when the JPG was compressed - the PNG can only be as sharp as the file you start with.
Will converting JPG to PNG make the background transparent?
No. JPG images do not contain transparency, so the PNG output keeps a solid background. Converting to PNG does not remove a background - for that you need a background remover. PNG is still useful because it supports transparency that you can add later in an image editor.

Converting cannot bring back detail lost to earlier JPG compression, and EXIF data such as camera info and location is not carried into the PNG.
